The Codasip team is also based close to its customers, which means we have dedicated sales and application engineers in the USA, Japan, Korea, and China.

What you'll do
We are looking for a Corporate Counsel to serve as an in-house counsel and handle all complex legal matters and projects in the international IT company. You will ensure the legality of commercial transactions and advise our company on legal rights and duties across the Codasip group. Moreover, you will closely cooperate and report to our CFO, Vladimír Koutný.
You will
- Support current M&A transaction, including VDR management;
- Draft an anchor customer partnership agreement (product tool licensing) and support negotiations;
- Manage external legal support for the transaction, especially in Germany, where the holding entity is located for Shareholders' matters;
- Contract management with a focus on customer contracts;
- Consult and handle all corporate legal processes (e.g., intellectual property, patents, privacy law, and data protection, including GDPR, compliance issues, transactions, inbound and outbound agreements);
- Develop company policy and position on legal issues;
- Research, anticipate, and guard the company against legal risks;
- Guide managers and ensure compliance with rules and regulations;
- Structure, draft, and review reports and other legal documents;
- Represent the company in legal proceedings (administrative boards, etc.);
- Draft and administer all contracts and the entire contract process management;
- Support deal negotiation and attend company meetings.
What you need
- Law Degree;
- Proven solid background on corporate law (contract law, securities law, intellectual property rights, licensing, tax law);
- Excellent knowledge and understanding of corporate law and procedures;
- Demonstrated ability to create legal defensive or proactive strategies;
- Good negotiation and communication skills;
- High degree of professional ethics and integrity;
- Sound judgement and ability to analyse situations and information;
- Administrative and managerial skills;
- Analytical ability and strong attention to detail.
What you might have
- Knowledge of the International Trade and Export Controls Law;
- Experience with (semiconductor) licensing business;
- Understanding of International law, especially German one, etc.
